These Terms of Use (“Terms”) govern your access to and use of the jLjewelry website, platform, and related services (collectively, the “Service”), operated by jLjewelry (“Company”, “we”, “us”, “our”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

jLjewelry provides technology infrastructure and operational workflows that support collateral-backed credit secured by luxury jewelry and watches. jLjewelry is not a lender, broker, financial advisor, or custodian.

Definitions

Scope of the Service

jLjewelry provides a technology platform that may include:

• Asset submission and intake workflows
• Authentication and appraisal coordination
• Custody tracking and reporting
• Partner portals and administrative tools
• Customer-facing interfaces for status and reporting

All lending decisions, pricing, underwriting, funding, repayment, and enforcement are performed exclusively by licensed third-party partners.

jLjewelry does not:

• Offer loans
• Set interest rates or loan terms
• Hold customer funds
• Provide legal, tax, or financial advice

Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Service.

You represent that:

• You own or are authorized to submit the assets you provide
• All assets were acquired lawfully
• Your use of the Service complies with applicable laws and regulations

User Responsibilities

By using the Service, you acknowledge and agree that:

1. Accuracy of Information
   You are responsible for providing complete, accurate, and truthful information regarding yourself and any submitted assets.
2. Asset Risks
   Luxury assets may fluctuate in value. Appraisals are opinions, not guarantees.
3. Custody & Ownership
   While assets may be placed in insured custody, you retain beneficial ownership subject to partner agreements.
4. Partner Agreements
   Any credit, custody, or verification services are governed by separate agreements with third-party partners.
5. Taxes & Compliance
   You are solely responsible for all applicable taxes, reporting, and regulatory obligations.

Fees and Payments

Fees for services (if applicable) are disclosed on relevant pages or partner agreements.

jLjewelry may receive platform or service fees from partners. We do not control partner pricing and are not responsible for changes to partner fees, interest rates, or loan terms.

Prohibited Use

You agree not to:

• Use the Service for unlawful, fraudulent, or deceptive activities
• Submit stolen, counterfeit, or misrepresented assets
• Attempt to bypass security, verification, or access controls
• Reverse engineer, scrape, or misuse the platform
• Infringe intellectual property rights
• Misrepresent jLjewelry as a lender or financial institution

We may suspend or terminate access for violations without notice.

Third-Party Services

The Service may integrate or link to third-party providers. jLjewelry does not control and is not responsible for third-party services, content, decisions, or outcomes.

Your use of partner services is subject to their own terms and policies.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

To the fullest extent permitted by law, jLjewelry disclaims all warranties, including but not limited to:

• Asset valuation accuracy
• Partner performance or decisions
• Loan approval, pricing, or availability
• Continuous or error-free operation
• Suitability for any particular purpose

Limitation of Liability

To the maximum extent permitted by law:

• jLjewelry shall not be liable for indirect, incidental, consequential, or punitive damages
• jLjewelry is not liable for losses related to asset value changes, partner actions, custody events, or regulatory decisions
• Total liability shall not exceed amounts paid directly to jLjewelry in the three (3) months preceding the claim

Indemnification

You agree to indemnify and hold harmless jLjewelry and its affiliates from claims arising out of:

• Your misuse of the Service
• False or misleading information
• Violation of laws or third-party rights
• Breach of these Terms

Intellectual Property

All platform software, content, trademarks, designs, and documentation are owned by jLjewelry or licensed to us.

You may not copy, modify, distribute, or commercially exploit any part of the Service without written permission.

Sanctions & Restricted Jurisdictions

You represent that you are not subject to sanctions and are not located in jurisdictions where use of the Service is prohibited.

We reserve the right to restrict access to comply with applicable sanctions and laws.

Suspension and Termination

We may suspend or terminate access at our discretion for:

• Legal or regulatory requirements
• Security risks
• Policy violations
• Fraud or misuse

Termination does not affect obligations incurred prior to termination.

Changes to These Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
